Terms of Service

These Terms of Service ("Terms") govern your use of the TuWatch Africa platform ("Platform"), operated by Wabe Films ("we", "us", "our"). By creating an account or using the Platform, you agree to these Terms. Please read them carefully.

1. Eligibility

You must be at least 18 years of age to create an account and use TuWatch Africa. By registering, you confirm that you meet this requirement. We reserve the right to suspend or terminate accounts that we believe belong to minors.

2. Accounts

You are responsible for maintaining the security of your account and for all activity that occurs under it. You must provide accurate and complete information during registration. Notify us immediately at hello@tuwatch.africa if you suspect unauthorised access to your account.

We reserve the right to suspend or terminate accounts that violate these Terms or that we believe are being used fraudulently.

3. Shilingi Wallet

TuWatch Africa uses an in-platform currency called Shilingi (₴). You may top up your wallet using M-Pesa via Paystack. The exchange rate is fixed at 1₴ = KES 1.

• Shilingi tokens do not expire and remain in your wallet until used.
• All wallet top-ups are final and non-refundable once processed.
• Shilingi have no cash value and cannot be transferred to another user or withdrawn.
• We are not responsible for failed top-ups caused by your mobile money provider. Contact us if a payment is debited but your wallet is not credited.

4. Purchasing and Unlocking Content

When you spend Shilingi to unlock a title, you receive a permanent, non-exclusive, non-transferable licence to watch that title on TuWatch Africa for personal, non-commercial use.

• Unlocks are permanent — once a title is unlocked, it remains accessible to you as long as the Platform is operational and the title remains available.
• We do not guarantee the indefinite availability of any specific title. Content may be removed at a filmmaker's request or for legal reasons, without entitling you to a refund.
• You may not download, record, distribute, broadcast, or commercially exploit any content unlocked on the Platform.

5. Intellectual Property

All content on the Platform — including films, short films, documentaries, series, trailers, artwork, and descriptions — is owned by the respective filmmakers or rights holders and is made available to TuWatch Africa under licence.

The TuWatch Africa brand, logo, platform design, and all proprietary technology are owned by Wabe Films. You may not reproduce, copy, or use these without our express written permission.

6. User Conduct

You agree not to:

• Use the Platform for any unlawful purpose or in violation of any applicable law.
• Attempt to circumvent, disable, or interfere with any security or access control feature.
• Use automated tools, bots, or scrapers to access or extract content from the Platform.
• Share your account credentials with others or allow multiple simultaneous sessions for the purpose of sharing access.
• Upload or transmit any content that is defamatory, obscene, harassing, or infringing on third-party rights.
• Attempt to reverse-engineer, decompile, or disassemble any part of the Platform.

7. Filmmaker Submissions

If you register as a filmmaker and submit a title for publication on TuWatch Africa:

• You confirm that you own or have all necessary rights to the content you submit, including clearances for music, footage, and third-party materials.
• You grant TuWatch Africa a non-exclusive, worldwide licence to host, stream, and promote your title on the Platform.
• You agree to the revenue split: 70% to the filmmaker, 20% to TuWatch Africa, 10% to Paystack (payment processing). This split applies to each Shilingi transaction for your title.
• We reserve the right to reject or remove any submission that violates these Terms, our content guidelines, or applicable law.
• Review typically takes up to 3 business days. We will notify you of the outcome by email.

8. Revenue Payouts

Filmmaker earnings will be paid out in accordance with our payout schedule, which will be communicated separately. We reserve the right to withhold payment where there is a reasonable suspicion of fraud or a dispute regarding rights ownership.

9. Disclaimer of Warranties

The Platform is provided on an "as is" and "as available" basis without warranties of any kind, express or implied. We do not warrant that the Platform will be uninterrupted, error-free, or free from viruses or other harmful components. We do not guarantee the accuracy, completeness, or quality of any content available on the Platform.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Wabe Films and TuWatch Africa shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Platform, including but not limited to loss of data, loss of revenue, or inability to access content.

Our total aggregate liability to you for any claim arising from your use of the Platform shall not exceed the total amount of Shilingi you have purchased in the three months preceding the event giving rise to the claim.

11. Third-Party Services

The Platform integrates third-party services including Paystack, Supabase, Bunny.net, and Anthropic. We are not responsible for the availability, accuracy, or conduct of these services. Your use of third-party services is governed by their respective terms and privacy policies.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of Kenya. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Kenya.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or via an in-app notice. Continued use of the Platform after changes take effect constitutes your acceptance of the updated Terms. The date at the top of this page reflects the most recent revision.
